These Terms of Service ("Terms") govern your access to and use of the Humboldt CRM platform, operated by HUMBOLDT TECHNOLOGIES LLC (Florida Sunbiz document number L26000107116; filed February 20, 2026; principal office and mailing address: 160 W Evergreen Ave, Suite 290, Longwood, FL 32750). By accessing or using the Services, you agree to be bound by these Terms.
Acceptance of Terms
By creating an account or using Humboldt CRM, you agree to these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you may not access the service. You must be at least 18 years old to use our services.
Description of Service
Humboldt CRM is a customer relationship management platform designed for field teams. Our services include contact management, scheduling, quoting and invoicing, payment processing, communications, and reporting tools. We reserve the right to modify, suspend, or discontinue any aspect of the service with 30 days prior notice to active subscribers.
User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms, subject to the notice provisions described in the Termination section.
Customer Data, Electronic Records, and Signatures
If you use the Services for a business, you are the "Account Owner" for the account and may submit information about your customers, clients, contacts, employees, subcontractors, or other individuals ("End Users"). You represent and warrant that you have all rights, permissions, notices, consents, and lawful bases required to collect, submit, use, and direct HUMBOLDT TECHNOLOGIES LLC to process that information, including telephone numbers and SMS consent information. You are responsible for your privacy notices, consent records, messaging practices, and responses to End User requests. You instruct HUMBOLDT TECHNOLOGIES LLC to process this Account Owner Data as a service provider or data processor on your behalf to provide, secure, and support the Services. You consent to receive notices, disclosures, invoices, agreements, and other communications electronically. If you use an electronic-signature feature, you agree that an electronic signature, click, checkbox, typed name, or other electronic action intended to show your agreement may be used to indicate your intent and may have the same legal effect as a handwritten signature to the extent permitted by applicable law. You must keep your email address and other contact information current. You may withdraw consent to electronic records by contacting legal@usehumboldt.com, but withdrawal may prevent you from using features that require electronic delivery or electronic signatures. If you need a data processing addendum, contact legal@usehumboldt.com. HUMBOLDT TECHNOLOGIES LLC may make a Data Processing Addendum available for eligible customers, and the applicable Addendum will control where it conflicts with these Terms for covered personal data. The availability, scope, and governing terms of any Addendum must be confirmed in writing.
Payment, Cancellation, and Refunds
Subscription fees are billed according to the plan you select (monthly or annual). You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the current billing period. We do not issue prorated refunds for partial periods except as required by applicable law. For annual subscriptions, you may request a full refund within the first 14 days after your initial purchase. We reserve the right to change pricing with 30 days prior notice; price changes take effect at the start of your next billing period. Failure to pay may result in account suspension after a 14-day grace period.
Intellectual Property
HUMBOLDT TECHNOLOGIES LLC and the original content, features, and functionality of the Humboldt CRM platform are owned by HUMBOLDT TECHNOLOGIES LLC and are protected by applicable copyright, trademark, and other intellectual property laws. You retain ownership of the data you input into the platform. You grant HUMBOLDT TECHNOLOGIES LLC a limited license to host, copy, transmit, and process that data only as needed to provide, secure, and support the Services and as otherwise described in the Privacy Policy.
Limitation of Liability
To the maximum extent permitted by Florida law, HUMBOLDT TECHNOLOGIES LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits or revenues. HUMBOLDT TECHNOLOGIES LLC’s total liability shall not exceed the amount paid by you in the 12 months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability for fraud, gross negligence, or any liability that cannot be excluded under Florida law.
Indemnification
You agree to indemnify and hold harmless HUMBOLDT TECHNOLOGIES LLC, its officers, employees, and agents from claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Services, your violation of these Terms, your violation of applicable law, or your violation of a third party’s rights, including in connection with Account Owner Data or messages sent through your account.
Termination
We may suspend or terminate your access for violation of these Terms after providing 15 days’ written notice and an opportunity to cure the violation, except in cases of serious security breaches, illegal activity, or other circumstances where immediate action may be necessary. You may terminate your account at any time. Upon termination, your right to use the Services will cease at the end of the current billing period unless these Terms or applicable law provide otherwise. You should request any needed export before access ends by contacting our support team. We do not promise a universal 90-day deletion deadline. Data may be retained, soft-deleted, deleted, or otherwise handled according to the Privacy Policy, applicable law, contractual instructions, legal holds, backups, audit records, security needs, and the retention practices of relevant service providers.
Dispute Resolution
Any dispute arising from these Terms shall first be addressed through good-faith informal negotiation for a period of 30 days. If the dispute cannot be resolved informally, it shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its applicable commercial arbitration rules, conducted in the State of Florida. To the fullest extent permitted by law, arbitration shall be conducted only on an individual basis. Neither you nor HUMBOLDT TECHNOLOGIES LLC may participate as a plaintiff or class member in a class, collective, consolidated, or representative action or arbitration, and the arbitrator may not combine or consolidate claims or conduct a representative proceeding. Either party may bring a qualifying claim in small claims court, and either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights or other rights that cannot lawfully be resolved in arbitration. You may opt out of this arbitration and class-action waiver by notifying us in writing within 30 days of creating your account at legal@usehumboldt.com. The enforceability, scope, and required carve-outs of this provision must be confirmed by counsel.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict-of-law provisions. You consent to the personal jurisdiction and exclusive venue of the state and federal courts located in the State of Florida for any action not subject to arbitration.

Founding Member Price Freeze
Organizations whose paid Humboldt CRM subscription first becomes active between September 1, 2026 and September 30, 2026 (U.S. Eastern Time) receive founding member status. For sixty (60) months from that activation, HUMBOLDT TECHNOLOGIES LLC will not increase the recurring price of the subscription plan (monthly or annual) the organization holds, for as long as the subscription remains continuously active. The freeze applies to the base subscription price; it does not cover optional add-ons, taxes, or government fees. If the subscription is canceled or lapses for non-payment and is restarted after the founding window, then-current pricing applies. Founding member status is recorded on the account and is not transferable.
